I love my customers, so I give them a bunch of chances to catch up on unpaid invoices. But when have I been waiting long enough? Should I just let it go or should I pursue legal action? Deciding whether to pursue legal action against an individual or a company that owes you a debt is unique to you. Only you know what the right decision for you or your business is. But, here are some things to consider: Is the invoice large enough that it would cause an impact on your bottom line? Even if the outstanding amount is relatively small, are you worried that your accounts receivable are starting to stack up? Has this customer consistently paid late or failed to pay in the past? How much time are you spending trying to collect unpaid bills? Are you concerned that letting unpaid bills go will set a bad precedent in your business? Consider the principle of the thing: is it ok with you to let someone “get away” with not paying a bill they rightfully owe? Take a look at this particular outstanding invoice in the context of your larger business. What would happen to your bottom line if several customers didn’t pay at once? Do you have a system in place to ensure bills are paid in a timely manner? Working with an experienced collection attorney is one way to establish a system to get outstanding invoices paid. This process includes a variety of legal tools that we can use to pursue your claim. We always treat your former customers respectfully while at the same time pursuing your claim aggressively. Throughout the legal part of the process, Wakefield Law handles all communications and interactions with the debtor. Even if he or she agrees to pay, the attorneys at Wakefield Law will negotiate on your behalf to make sure that the debt gets paid (if your contract allows for it, we may even be able to pursue attorney’s fees and interest on top of the initial debt). Here’s the best part: you don’t have to pay an hourly rate for our legal efforts on collection cases. At Wakefield Law, we conduct our collection cases on a contingency basis. This means that we take a percentage of any money that we are able to collect. If we aren’t able to collect from the debtor, then you don’t owe us a thing. There are many critical steps that go into the trust preparation process, but we are always very clear with clients that the drafting and signing of the trust is only the first phase of the trust process. You must, without fail, make sure your assets transfer from your own names into the trust! If you fail to do so, it can often be that the trust is not worth the paper it’s written on. If You Choose a Revocable Living Trust as a Part of Your Estate Plan, You Need to Fund It So, you have chosen to include a Revocable Living Trust as a part of your estate plan. Why? Probably because you were interested in taking advantage of one of the trust’s benefits. For those of you who need a refresher, Revocable Living Trusts can: Cut down on the time and expense associated with navigating the probate process Help your loved ones avoid the hassle of gathering and gaining access to your assets after you pass Give you the best control possible over when and where your assets go after you pass away. If you haven’t yet considered a trust as a part of your estate plan, it really is worth taking a look. These and many other benefits are why many of our clients at Wakefield Law prefer to use a Revocable Living Trust as a part of a comprehensive estate plan. However, for the sake of this blog post, let’s say you’ve already chosen to incorporate a Revocable Living Trust into your estate plan. Now what? You wrote out the trust instructions, you’ve named yourself and your spouse as the initial trustees, and you’ve designated for successor trustees for the future. You even included some specific language designed to provide for your minor children if you should pass before they reach adulthood. Is that all? Are your assets secured? Nope! Unlike a Will, a Revocable Living Trust doesn’t become effective as soon as it is signed. Or rather, it does become a legally enforceable document, but it’s empty. Think of your Revocable Living Trust as a bank account for which you get to write the rules. You “open the account” by creating the trust. You write the rules for the trust. But, there’s nothing inside. So, you must fund your trust, meaning you have to move your assets into the trust, where they will become subject to the rules you’ve written. Make sense? How Do You Move Assets into a Trust in Virginia? Typically, at this point in the estate planning process, your attorney will give you an option. The trust has been created. Would you like to fund it yourself or do you want the attorney to fund it for you? Of course, having the attorney fund it for you is the easiest option, but it does typically cost more than doing it yourself. So, how hard is it to fund your trust on your own? Well, the answer depends on the assets you want to place in your trust. For things like bank accounts, stocks, bonds, brokerage accounts, insurance policies, and retirement accounts, you can typically request a Beneficiary Designation Form from the financial institution holding your account. On the form, you would change your beneficiary designation from the name of an individual to the name of your trust. By doing so, these financial assets will automatically pass to the trust upon your death. However, there is another option. For some assets, you can choose to change the ownership to the trust right now. Instead of being held by you, as an individual, some of these assets may be able to be held by the trust right away. Since you are the initial trustee, you maintain complete control over your assets. However, if you become ill or die, there would be no transfer of ownership of these financial assets. Instead, the successor trustee would simply become the new decision maker. For assets such as real estate and tangible personal property, things are a tiny bit more complicated. Since tangible assets don’t typically have titles (think about things like furniture, art, and jewelry), you will have to create a separate document transferring ownership of your personal assets to the trust. Property that does have a title (such as automobiles, boats, and real estate), can be retitled with the state, if appropriate. Your Trust is a Living Set of Documents Because Assets are Not Static Estate planning is an ongoing process, not a single action taken once. This is because property ownership, preferences, and family structure are not static. We all know that estate plans need to be updated if a person is born or dies or if family members get married or divorced. However, there is another, very dynamic part of your estate plan that is changing all the time: your assets. Since your current estate plan only reflects your current asset portfolio and property ownership, it will need to be updated on a regular basis. We recommend updating your estate plan about every three years and even more often if you buy or sell a home, get married or divorced, or have any significant changes in your financial landscape. Again, let’s go back to the bank account analogy. If you create a trust this year and fund it with the assets you have now, but then next year you buy a vacation property near the beach, the vacation property will not be covered by your trust unless you purchase the property in the name of the trust or purchase it and then re-title it into the trust. If This All Sounds Too Much, Don’t Worry As I mentioned, it is of course easier to have your attorney do all of this funding for you. Depending on the time and attention you want to dedicate to maintaining your trust, it may make sense to work with your attorney to fund the trust than to do it yourself. We move at your speed and have a tried and true process to meet, set up critical action items, and get the plan you need in place. What Documents Do You Need Before the Baby Comes? WILL First and foremost, new parents need Wills. Sure, this may seem obvious, but it’s actually incredibly important. Wills do a couple of things. One is to pass your earthly possessions onto your loved ones. While that’s an important function of a Will, it’s probably not at the top of your mind when you are bringing a new baby into the world. (Not to mention, it’s not generally the most efficient way to transfer assets, but we’ll get to that in a minute). Importantly, a Will also allows you to name a guardian for minor children. This is where estate planning documents are most necessary. If something should happen to you, who will care for your baby? Without a Will, the court will make that decision on your behalf, and they might not make the same choice you would. A properly executed Will allows you to name first, second, and third-choice guardians who can step in to care for your child, if the need should ever arise. TEMPORARY GUARDIAN DESIGNATION You can also use your estate plan to name temporary guardians. Naming temporary guardians happens outside of the Will, and allows you to name one or more individuals who live nearby and should be called upon to care for your child immediately. If your appointed permanent guardians do not live nearby or are not immediately immediately available, children can end up in state or police custody until the permanent guardian becomes available. ADVANCE MEDICAL DIRECTIVE In addition to the health and wellbeing of your child, your estate plan should provide for your own health and wellbeing, too. An Advance Medical Directive is a set of documents that allows you to state your medical preferences, name a healthcare proxy, designate individuals who are entitled to speak with your healthcare providers about your condition, and specify any end-of-life wishes. Without these documents in place, even temporary incapacity due to illness or injury can become a nightmare. By taking the time to lay out your wishes and necessary permissions in your advance medical directive, your loved ones will be able to seek care on your behalf unencumbered. POWER OF ATTORNEY When the unexpected occurs, who is empowered to take the wheel? Who can make sure the bills are paid, the house is cared for, and the business is up and running? Your Power of Attorney allows you to name a financial agent who is entitled to make financial, business, and legal decisions on your behalf. If you are temporarily or permanently incapacitated, Power of Attorney is absolutely essential. REVOCABLE LIVING TRUST How will you preserve your assets to ensure your child and partner are cared for in the future? Who will oversee the distribution of your assets? What kind of controls can you exercise that will protect your child long into his or her future? Sounds like a job for a Revocable Living Trust. Unlike a Will, which simply states who should receive what and then is executed through the probate court process (which can be long and costly), a trust allows you to transfer assets to loved ones outside of a court setting efficiently and privately. With a properly created and funded trust, it is possible to avoid the probate process altogether. When you create a trust, you are able to exercise far more control over your assets. Trust instructions state to whom, when, in what amounts, and for what purposes assets can be distributed. For example, don’t want your child to inherit your entire estate when he or she turns 18? A trust may be the answer. You can specify trust instructions that provide for your child’s healthcare, education, housing, travel, all without the interference or oversight of the court.
